1. Services

Services are provided on a time and materials basis unless otherwise agreed in writing. Scope is limited to what is described in the quote or estimate.

2. Fees & Payment

Fees are charged at the agreed hourly or daily rate. Invoices are payable within 14 days of issue unless stated otherwise.

3. Estimates & Additional Work

Estimates are based on good-faith assumptions. Any work beyond the agreed scope requires client approval and will be billed at the same rate.

4. Use of AI Technologies

The client authorizes the use of third-party artificial intelligence technologies as appropriate in the conduct of the work. The client must notify us if there are any specific AI technologies that they prefer are not used.

5. Intellectual Property

All deliverables, source code, and materials created as part of the services become the property of the client once payment has been received in full.

The consultant retains the right to reuse general knowledge, skills, and non-confidential techniques gained during the engagement.

6. Confidentiality

Both parties agree to keep confidential any non-public information received during the engagement.

7. Client Responsibilities

The client is responsible for providing timely access to required systems, information, and decision-makers.

8. Testing

The client is responsible for ensuring the software has been tested. After receiving a test notification, the client must conduct user acceptance testing and provide feedback within 5 business days. Work will be considered auto-approved and may be deployed to production once the testing period has expired.

9. Warranty & Disclaimer

Services are provided on a best-efforts basis. No guarantees are made that deliverables will be error-free or fit for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, the consultant's liability is limited to the fees paid for the services giving rise to the claim.

11. Termination

Either party may terminate the engagement at any time with written notice. The client is responsible for payment of all work completed up to the termination date.

12. Governing Law

These terms are governed by the laws of Queensland, Australia.
